1. Acceptance of Terms

By accessing or using GrubDeli’s mobile applications, websites, or services (collectively, the “Platform”), you agree to comply with and be bound by these Terms of Use (“Terms”). If you disagree with any part of these Terms, you may not use the Platform.


2. Definitions

  • “Consumer”: A user who orders goods/services via the Platform.
  • “Vendor”: A business or individual selling goods/services through GrubDeli.
  • “Rider”: A user providing delivery services via the Platform.
  • “Services”: Includes food/grocery delivery, retail shopping, medicine orders, parcel delivery, and the African Market Hub.

3. Eligibility

  • You must be at least 19 years old to use the Platform. Minors under 18 require parental consent.
  • Vendors and Riders must meet additional eligibility criteria (e.g., valid business licenses, driver’s licenses).

4. Account Registration

  • Provide accurate, current, and complete information during registration.
  • Safeguard your account credentials. You are responsible for all activities under your account.
  • GrubDeli reserves the right to suspend or terminate accounts for fraud, misconduct, or violations of these Terms.

5. Use of Services

A. Consumers

  • Orders are binding once confirmed. You are responsible for providing accurate delivery addresses and payment details.
  • Refunds/returns are subject to Vendor policies and GrubDeli’s [Refund Policy].

B. Vendors

  • Ensure product listings are accurate, lawful, and comply with health/safety standards (e.g., food hygiene, prescription laws).
  • Pay applicable commissions (10–15% per transaction) and delivery fees.

C. Riders

  • Deliver orders promptly and safely. Comply with traffic laws and GrubDeli’s delivery guidelines.
  • Consent to background checks and location tracking during deliveries.

6. Payments

  • Consumers pay via in-app payment gateways (credit/debit cards, mobile money).
  • Vendors receive payments net of commissions, minus processing fees.
  • Riders earn per-delivery fees or hourly rates, subject to performance metrics.

7. Prohibited Conduct

You agree not to:

  • Use the Platform for illegal activities (e.g., counterfeit goods, unauthorized prescriptions).
  • Harass other users, Riders, or GrubDeli staff.
  • Reverse-engineer, hack, or disrupt the Platform’s functionality.

8. Intellectual Property

  • GrubDeli owns all rights to the Platform’s content, logos, and software.
  • Vendors retain ownership of their product listings but grant GrubDeli a license to display and promote them.

9. Termination

  • GrubDeli may terminate access to the Platform for violations of these Terms.
  • Users may deactivate accounts at any time via app settings.

10. Disclaimers

  • The Platform is provided “as is” without warranties of merchantability or fitness for a particular purpose.
  • GrubDeli is not liable for Vendor product quality, delivery delays, or third-party actions.

11. Limitation of Liability

GrubDeli’s total liability for any claims related to the Platform shall not exceed the fees paid by you in the prior 6 months.


12. Dispute Resolution

  • Disputes between users (e.g., Consumers/Vendors) should be resolved directly or via GrubDeli’s support team.
  • Unresolved disputes may be settled through binding arbitration in Alberta, Canada, under the Arbitration Act.

13. Governing Law

These Terms are governed by the laws of Alberta and Canada.


14. Updates to Terms

GrubDeli may update these Terms periodically. Continued use of the Platform constitutes acceptance of revised Terms.
